Pest Control Due Diligence Checklist for Sellers
A useful diligence package lets reviewers trace a claim to the underlying records. Organize it by question, responsible person and disclosure stage so your team can answer consistently without exposing unnecessary information.
Create One Index and One Request Tracker
Assign a document coordinator, often supported by the owner, bookkeeper, attorney and operations lead. Maintain request number, buyer question, source owner, period, file version, approval and open follow-up. Mark an item not applicable with a reason rather than leaving an unexplained blank.
Keep original records separate from analytical schedules. A buyer should be able to follow the earnings bridge back to the books, but not every user needs raw payroll or customer identities.
Pest Control Diligence Document Checklist
| Workstream | Documents and question | Owner / access |
|---|---|---|
| Finance and tax | Annual/monthly statements, tax returns, ledger reconciliation and add-backs: do earnings reconcile? | Bookkeeper/accountant; qualified financial reviewers |
| Accounts and revenue | Coded cohorts, revenue mix, cancellations, concentrations and receivables: what will recur? | Operations/finance; coded first |
| Routes and obligations | Service frequency, drive time, prepaid work, termite renewals and warranties: what must still be delivered? | Operations; aggregate first, detail when justified |
| People and qualifications | Roles, compensation summaries, certifications, training and owner duties: who can operate after close? | Owner/counsel; restrict personal identifiers |
| Contracts and property | Customer agreements, leases, franchise terms, fleet titles and software licenses: what needs consent? | Counsel/owner; staged document access |
| Risk and compliance | Insurance, claims, notices, treatment records and relevant safety procedures: what remains unresolved? | Owner/counsel; appropriate restricted review |
| Transaction and transition | Ownership, liens, included assets, closing conditions and handoff plan: what must happen to close? | Counsel/accountant/owner; transaction team |
This is an organizing framework, not a complete legal or regulatory checklist. The buyer, lender, service mix, jurisdiction and sale structure determine the final requests.
Reconcile the Areas Buyers Cannot Infer
Prepaid Service and Warranty Work
Link cash collected to remaining treatments or inspections. Explain who must perform the work after closing and how the agreement treats the obligation.
Account and Route Exports
Use consistent definitions of active, paused, canceled and reinstated accounts. Show whether customers were acquired, newly sold or renewed; route totals should reconcile to the same period.
For termite work, distinguish renewal fees, retreatment commitments and repair-related coverage where applicable. Do not treat every termite agreement as the same warranty. Locate the actual terms and claims history.
Maintain a Clean Earnings Bridge
For each adjustment record the ledger account, period, amount, reason and whether the cost recurs under the proposed operating model. Explain negative adjustments as well as add-backs. A missing manager cost or non-operating income can reduce normalized earnings.
A buyer’s disagreement is not automatically correct. Resolve it by comparing records and operating assumptions. Escalate tax or accounting treatment to the appropriate advisor instead of silently revising figures to satisfy a request.
Manage Sensitive Access and Open Issues
- Start with coded customer and employee summaries; release identifiers only for a justified purpose.
- Record questions that need seller, accountant or counsel approval before answering.
- Maintain an issues list with proposed resolution, cost, owner and effect on closing.
- Confirm license and qualifying-person continuity with the applicable agencies.
- Freeze a closing set of documents and retain the required record according to professional advice.
EPA certification guidance: explains the federal restricted-use pesticide baseline and the role of state, territorial and tribal certifying authorities.
FTC data-protection guidance: supports limiting and protecting sensitive data. A transaction does not remove the need for appropriate access controls.
Frequently Asked Questions
Should the entire room be open before an offer?
Not automatically. Provide enough evidence for the current decision, then expand access according to buyer qualification, agreed terms and sensitivity.
What should I do with inconsistent financial and route reports?
Keep the originals, identify period and definition differences, and create a reconciliation. Do not replace them with an unexplained clean-looking total.
